Vessel Registry

Hi All, looking for some some information about vessel registry.
I am looking to register a USCG vessel in Canada.
I've read before I need a bill of sales and a deletion of registry document from USGC to register In Canada.
My question is who is responsible to acquire this document? Seller or purchaser. And how long does it take to get one?
I also have second question.
I 've noticed many people register there vessel in LLC . If registered in Canada do you need to show income or can it be a passive company with no income generated? What benefit to registering in a company vs personal ownership?

When I bought my boat in the states (2015) the purchaser provided the bill of sale ( this is logical) and the removal of the vessel from the registry. As to who is "required" to do this I don't know but I requested the seller do the removal, didn't seem to be a big deal for him.

It'll be hard to register the vessel in an LLC in Canada as its not a business structure that we have here.
